There are laws against transfer of IPRs, you can't just bring all their material and know how's here.

Besides Emb is like their HAL, it won't be easy to sell them off.

The "laws" you're referring to are in 90% of cases simply ITAR regulations and those are only enforced by Murica. Other 10% by EU.

For other countries, especially the ones like Brazil or South Africa things are pretty relaxed...u gib , u take dis.
Just select any random UAE based defence firm and try to dig deep, at some point you'll in some way or other arrive at Denel Dynamics of South Africa.

As for Embraer not being for sale, remember they were suing Boeing for more than 100 million USD for walking out of the acquisition deal...so they themselves pretty much wanted to get bought, especially by someone non-Brazilian.
